1. Acceptance

This website (the "Site") and all written content and other materials and services made available through or via the Site — including, without limitation, photographs, images, illustrations, audio, video, e-books, email communications, social media content, teleconference sessions, webinars, programs, and any other resources (collectively, the "Material") — is owned and operated by Nigella Health ("Nigella Health", "we", "us", "our"), a naturopathic clinic based in Ontario, Canada. Nigella Health is in the business of delivering naturopathic wellness services.

By visiting or using this Site you are confirming your agreement to be bound by these Terms of Use, our Privacy Policy, and any supplementary terms that may govern particular sections of the Site or specific services and programs available through it.

We reserve the right to amend these Terms of Use or introduce new conditions at any time. Updated Terms will be posted to this page and will take effect immediately upon publication. Your continued use of the Site after any such update constitutes your acceptance of the revised Terms.

You must be at least 18 years of age to access or use this Site and the Material. By using the Site and agreeing to these Terms, you represent and warrant that you have reached the age of majority in your jurisdiction and, in any event, are no younger than 18 years old.

2. Intellectual Property and Permitted Use

All content on this Site and within the Material — including text, graphics, logos, images, photographs, audio, video, and the overall selection and arrangement of content — is the exclusive property of Nigella Health and/or its licensors, and is protected under the Copyright Act, R.S.C. 1985, c. C-42 and other applicable intellectual property laws.

This Site is made available for your personal, informational, and non-commercial use only, strictly as permitted by these Terms. You may not use the Site or Material in any way that infringes upon our rights or that has not been expressly authorised by us. Unless we have specifically granted permission in writing, you must not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works from, or distribute any Material in any form or by any means — including electronic transmission or email.

3. Disclaimers

This Site and all Material are provided on an "as is" basis. While Nigella Health makes reasonable efforts to ensure that content is accurate, current, and useful, we make no representations, warranties, or guarantees — express or implied — including that: (i) the Material will be accurate, complete, reliable, timely, or suited to any specific purpose; (ii) the Site will operate without interruption or errors; (iii) any defects or inaccuracies will be corrected; or (iv) the Site will be free of viruses or other harmful code. We reserve the right to modify, suspend, or withdraw any part of the Site at any time and without prior notice.

4. Naturopathic Services and Scope of Practice

Nigella Health provides naturopathic services through regulated health professionals governed by the College of Naturopaths of Ontario (CONO) under the Naturopathy Act, 2007 and the Regulated Health Professions Act, 1991. Where Nigella Health engages or refers you to any other regulated health professional, that professional is solely responsible for the advice and services they provide, and for compliance with the standards governing their own licence and profession. Any clinical guidance you receive from a third-party practitioner comes from that individual alone, and not from Nigella Health.

Naturopathic services through this Site are available only to individuals physically located in the Province of Ontario at the time of their consultation, consistent with Ontario licensing requirements.

5. Medical Disclaimer — No Medical Advice

If you have any questions or concerns about your health, always seek guidance from a physician or other qualified healthcare professional. Do not ignore, disregard, or delay obtaining medical advice or treatment on account of anything you have read or encountered on this Site or in the Material.

Before beginning any new treatment, dietary change, or supplement regimen — including nutritional or herbal products — consult your doctor or another qualified healthcare provider to determine whether it is appropriate for you, and to assess any potential interactions with existing medications or health conditions.

This Site and the Material are not intended for use in a medical emergency. If you believe you are facing a medical emergency, call 9-1-1 or proceed immediately to your nearest emergency department.

Under no circumstances should you attempt to self-diagnose or self-treat based on anything you have read or viewed on this Site or in the Material. Use of any information provided here is entirely at your own risk.

You acknowledge and agree that your access to and use of this Site — including participation in any educational program, course, or resource made available through the Site — does not establish a practitioner–patient relationship between you and Nigella Health. A clinical relationship is created only through a formal, documented intake and consent process.

6. No Endorsements

Unless explicitly stated, Nigella Health does not recommend or endorse any specific diagnostic tests, healthcare providers, products, procedures, opinions, or other information that appears or may be advertised on this Site. Any reliance you place on such information is solely at your own risk.

7. Third-Party Links

The Site may include links to external websites and resources. Such links are provided as a convenience only and do not constitute an endorsement of those sites or their content. Nigella Health does not operate or control any third-party sites linked from this Site and accepts no responsibility for their content, accuracy, or availability. We make no warranties — express or implied — as to the legality, reliability, completeness, timeliness, or suitability of any third-party content, nor that any linked site will be free from interruptions, errors, or harmful components. Your use of any linked site is at your own risk and subject to that site's own terms.

8. Interactive Features

Certain areas of the Site may, from time to time, offer interactive features such as comment sections, contact forms, or links to social media platforms that enable you to share content or communicate with others. Responsibility for any material you submit, post, or transmit through these features rests entirely with you. Nigella Health is not responsible for user-generated content and does not endorse or verify any views expressed through such features.

Nigella Health reserves the right, at its sole discretion, to review, edit, remove, or decline to publish any user-submitted content at any time and for any reason. If you engage in conduct through any interactive feature that breaches these Terms, your access to that feature may be suspended or permanently revoked. Nigella Health shall not be liable for any loss or harm arising from your reliance on content posted or shared through these features. Any opinions expressed by third parties do not represent the views of Nigella Health.

9. Programs and Resources

Details regarding any educational programs, courses, webinars, or membership resources made available by Nigella Health are set out on the Site and may be subject to additional terms and conditions specific to each offering. Those additional terms are incorporated by reference and form part of this Agreement where applicable.

10. Registration and Account Information

Access to certain features of the Site or its services may require you to register and provide personal information, including your name, email address, and other relevant details. You agree to provide truthful, accurate, current, and complete information at the time of registration and to keep that information up to date. If Nigella Health has reasonable grounds to believe that information you have provided is false, incomplete, or misleading, we reserve the right to suspend or terminate your account and deny you access to any or all portions of the Site, at our sole discretion. The collection and use of your personal information is governed by our Privacy Policy.

11. No Guarantee of Results

Access to the Site, the Material, or any program or resource offered through the Site does not carry any guarantee or warranty of particular outcomes, health improvements, or other results. Individual results will vary depending on a wide range of personal factors outside Nigella Health's control.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Nigella Health and its officers, employees, agents, contractors, licensors, and successors shall not be liable for any damages of any kind — including direct, indirect, special, incidental, punitive, or consequential damages — arising out of or in connection with your use of, or inability to use, this Site or the Material. This includes, without limitation, any loss of business, personal injury, inaccurate information, improper treatment, or any other harm arising from your use, misuse, or reliance on the Site or Material, regardless of how such liability arises, whether in contract, tort, or otherwise. This limitation applies even where Nigella Health was aware or should have been aware of the possibility of such damages.

Nigella Health expressly disclaims all liability for the acts, omissions, or conduct of any third-party users of the Site, any advertisers, or any linked external sites. In no event shall Nigella Health be liable for any harm arising from your access to, use of, or reliance on any materials, content, goods, or services available through a third-party website linked to or from this Site, whether such liability arises in contract, tort, or otherwise.

Nothing in these Terms limits or excludes liability for death or personal injury resulting from proven negligence, fraud, or any other liability that cannot lawfully be excluded under applicable Ontario or Canadian law, including the Consumer Protection Act, 2002 (Ontario).

13. Indemnification

You agree to defend, indemnify, and hold harmless Nigella Health and its affiliates, directors, officers, employees, agents, contractors, and licensors from and against any and all claims, liabilities, losses, damages, costs, and expenses — including legal fees on a full indemnity basis — arising from or related to: (i) your use of the Site or the Material; (ii) any breach by you of any obligation, representation, warranty, or term set out in these Terms; or (iii) any third-party claim resulting from your actions or omissions in connection with the Site. This indemnification obligation applies to the fullest extent permitted by applicable law.

14. Fees and Payment

Where fees apply to services, consultations, programs, or other offerings made available through this Site, you agree to pay all applicable charges in accordance with the pricing and billing terms in effect at the time of purchase. By submitting your payment information, you authorise Nigella Health to process the applicable charges without requiring further notice or confirmation from you.

All purchases of Material, programs, or services — including consultations, courses, and memberships — are final. Except where required by applicable law, no refunds will be issued once a purchase has been completed. Please review all details carefully before completing your purchase.

15. Termination

Nigella Health may, at its sole discretion and without prior notice, suspend or permanently revoke your access to the Site or any part thereof. Upon such termination, your authorisation to access the affected portions of the Site ceases immediately. Any restrictions on your use of downloaded Material, and all disclaimers and limitations of liability set out in these Terms, shall survive termination and continue to apply.

16. Governing Law and Jurisdiction

These Terms of Use are governed by and shall be construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. You irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario for the determination of any dispute arising out of or in connection with these Terms or your use of the Site, and agree that Ontario is the exclusive and preferred forum for all such proceedings.

17. Waiver

Any decision by Nigella Health to overlook or excuse a breach of these Terms — whether communicated expressly or implied by conduct — shall not be construed as a waiver of any other, subsequent, or continuing breach of the same or any other provision. Our failure to enforce any right under these Terms on any occasion does not constitute a permanent waiver of that right.

18. Severability

Should any provision of these Terms be found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent required to make it valid and enforceable. If such modification is not possible, the provision shall be severed from these Terms entirely. The remaining provisions shall continue in full force and effect and shall not be affected by any such severance.
